1 – Accounts & Accuracy

When you submit an application, request funding details, or create an account with us, you must provide information that is accurate, complete, and current at all times. Your failure to do so constitutes a breach of the Terms, which may result in immediate termination of your application or account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your credentials.

Your account or inquiry is to be used only by you and solely for your bona fide business needs. You may not authorize others to use your inquiry, and you may not assign or otherwise transfer your account to any other person or entity. You are solely responsible for, and assume all liability regarding: (i) the information and content you provide, (ii) the information and documents you make available through the Service, and (iii) your interaction with any and all third-party financing partners and lenders.

Biz Consults Capital LLC may not be able to provide matches for every applicant seeking to use its Services. Biz Consults Capital makes no guarantees as to the specific number of lender matches, rates, or the ability to obtain commercial business funding. You agree to provide accurate, true, current, and complete commercial information and agree not to use the Service for any unlawful or deceptive purpose.

2 – Proprietary License & Content

The Service contains content owned or licensed by Biz Consults Capital LLC. Biz Consults Capital Content is protected by copyright, trademark, trade secret, and other intellectual property laws. As between you and Biz Consults Capital LLC, Biz Consults Capital LLC owns and retains all rights in the content, software, and proprietary loan matching algorithms.

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service solely for its intended purpose of exploring commercial business financing. We may terminate this license at any time for any reason whatsoever.

3 – Availability, Errors, and Inaccuracies

We are constantly updating our Service. Financing terms, rate quotes, borrowing capacities, and loan structures displayed or estimated on the Website or loan calculators may be estimated, subject to full credit underwriting, or unavailable at certain times.

We cannot and do not guarantee the completeness or accuracy of any information, including availability and services. We expressly disclaim any and all liability as a result of delayed, lost, or unsent messages, technological errors, or third-party lender decisions. We reserve the right to correct errors, inaccuracies, or omissions at any time without prior notice.

4 – Privacy Policy

Use of the Service is also governed by our Privacy Policy, which is hereby incorporated into and made part of these Terms. By using or accessing the Service, you agree to be bound by the terms of our Privacy Policy.

6 – Copyright & DMCA Complaints

Biz Consults Capital LLC respects the intellectual property of others. If you believe your copyrighted work has been infringed, please send a written notification to our designated agent including: (a) physical or electronic signature, (b) identification of copyrighted work, (c) identification of infringing material, (d) your contact info, and (e) a good-faith statement.

7 – Compliance with Laws

You represent and warrant that: (i) you are not located in a country subject to a U.S. Government embargo, or designated as a terrorist-supporting country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to use the Service solely in full compliance with all federal, state, and local commercial financing regulations.

8 – Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Biz Consults Capital LLC, its licensees, licensors, employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from: (i) your use and access of the Service; (ii) breach of these Terms; or (iii) any violation of any law or third-party rights.

9 – Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NEITHER BIZ CONSULTS CAPITAL LLC NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS, MANAGERS, OR AGENTS MAKE ANY REPRESENTATIONS OR WARRANTIES OR ENDORSEMENTS OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR SYSTEM INTEGRATION.

10 – Limitation of Liability & California Civil Code § 1542 Waiver

UNDER NO CIRCUMSTANCES WILL BIZ CONSULTS CAPITAL LLC PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, ECONOMIC, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAMAGES OF ANY KIND ARISING DIRECTLY OR INDIRECTLY FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. BY ACCESSING THE SERVICE, YOU EXPRESSLY WAIVE THE BENEFITS OF SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR STATUTORY PROVISION IN ANY OTHER JURISDICTION.

11 – Time Limitation on Claims & Governing Law

You agree that any claim arising out of or related to your relationship with Biz Consults Capital LLC must be filed within one (1) year after such claim arose; otherwise, your claim is permanently barred.

These Terms and any dispute shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law provisions. You consent to the exclusive personal and subject matter jurisdiction of the state and federal courts located in Suffolk County, New York.

12 – Class Action Waiver

IN ANY DISPUTE, NEITHER YOU NOR ANY OTHER PERSON SHALL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS AS A REPRESENTATIVE OF A CLASS OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. YOU ACKNOWLEDGE THAT YOU ARE GIVING UP YOUR RIGHTS TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO ANY SUCH CLAIM.
